Candidate Terms of Service

These Candidate Terms of Service ("Terms") form a binding agreement between you and oryx technologies Sàrl ("oryx," "we," "us"), a Swiss limited liability company registered at Avenue de Tivoli 19b, 1007 Lausanne, Switzerland (UID CHE-340.626.495). These Terms govern your use of candidate.so as a candidate (job seeker). "Service" means the candidate.so website, account, and related features including email delivery.
PLEASE READ THESE TERMS CAREFULLY. SECTION 13 REQUIRES INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL OR CLASS ACTION. YOU CAN OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 13.
1. What candidate.so Does
candidate.so hosts candidate profiles built from resumes that candidates upload directly. We automatically organize each profile into a structured taxonomy of skills, experience, and career attributes. Employers pay us to search the database using filters. Search results show employers an anonymous count of matching profiles broken out by resume recency; employers do not see your personal information from a search.
Employers may use the Service to send outreach emails to candidates whose profiles match their filters. Each outreach email identifies the employer as the sender and contains a link to the employer's own job-application page. We do not select candidates, score candidates, or recommend candidates to employers.
The Service is free for candidates. We never charge job seekers.
2. Eligibility
- You must be at least 18 years old.
- You must have the legal capacity to enter into a binding contract.
- You must not be barred from using the Service under applicable law.
- You represent that all information you submit is your own, accurate, and current.
3. Your Account
You are responsible for keeping your login credentials confidential and for all activity on your account. Notify us immediately at info@oryx.so if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, contain inaccurate information, or pose a risk to the Service or to other users.
4. Your Content and License Grant
"Candidate Content" means your resume, profile information, preferences, messages, and any other content you submit.
You retain ownership of your Candidate Content. You grant oryx a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, process, and analyze your Candidate Content for the purpose of operating the Service, including organizing it into our taxonomy and making it findable to employers as described in our Privacy Policy. This license terminates when you delete your account, subject to reasonable backup retention. The license does not authorize us to sell your Candidate Content, license it as a database product to third parties, or use it to train artificial-intelligence models for sale or external use.
You represent and warrant that your Candidate Content is accurate, that you have the right to submit it, and that it does not infringe any third-party rights or violate any law.
5. Employer Outreach by Email
By default, you may receive employer outreach emails. You can disable email outreach in your account settings at any time, and every outreach email contains an unsubscribe link. You are responsible for keeping your contact information current. We are not liable for messages delivered to outdated information.
6. Future SMS Communications
In v1 of the Service, we do not send SMS to candidates. If you have provided a phone number, that number will not be used for SMS unless you separately and affirmatively opt in to SMS through your account settings at a future date, with a disclosure that meets the requirements of the U.S. Telephone Consumer Protection Act (TCPA) and applicable state laws. Providing your phone number now does not constitute consent to receive SMS now or in the future.
7. Transactional Communications
By creating an account, you agree to receive transactional emails (account, security, password reset). These are not commercial messages, do not require separate consent, and cannot be disabled while your account is active.
8. No Guarantees About Outcomes
oryx does not guarantee that you will receive employer outreach, interviews, offers, or any specific outcome. The accuracy of job postings and the content of employer outreach is the responsibility of the posting employer. oryx does not endorse, verify, or assume responsibility for any job opportunity or employer. After you click an employer's outreach link, you leave candidate.so and any subsequent interaction is governed by that employer's own terms and privacy practices.
9. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information.
- Impersonate another person or misrepresent your affiliation with a person or entity.
- Scrape, harvest, or extract data from the Service except as expressly permitted.
- Send unsolicited communications through the Service.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.
- Use the Service for any unlawful purpose.
- Use the Service to compete with us or to build a competing product.
- Use automated means (bots, crawlers) to access the Service without our prior written consent.
10. Intellectual Property
The Service — including its software, design, the structured taxonomy, text, graphics, and trademarks — is owned by oryx or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use. No other rights are granted.
11. Termination
You may delete your account at any time from account settings or by emailing info@oryx.so. We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. On termination, the licenses you have granted us continue for content already shared with employers but otherwise terminate. Provisions that by their nature should survive termination (warranties, indemnities, limitations of liability, dispute resolution) will survive.
12. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ORYX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT EMPLOYER OUTREACH WILL RESULT IN INTERVIEWS, OFFERS, OR EMPLOYMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ORYX OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR EMPLOYMENT OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
ORYX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE THE SERVICE IS PROVIDED TO CANDIDATES FREE OF CHARGE, THIS LIMITATION IS A REASONABLE ALLOCATION OF RISK AND A MATERIAL BASIS OF OUR AGREEMENT.
13. Dispute Resolution; Arbitration; Class Action Waiver
Informal resolution. Before initiating arbitration or court action, contact us at info@oryx.so with a description of the dispute. We will try in good faith to resolve it informally within 60 days.
Arbitration agreement. If we cannot resolve the dispute informally, you and oryx agree to resolve any dispute arising out of or related to these Terms or the Service by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except as modified here. Arbitration will be conducted in English. The seat is New York, NY (proceedings may be conducted remotely). The arbitrator has exclusive authority to resolve any dispute about the formation, scope, or enforceability of this arbitration agreement.
Class action waiver. YOU AND ORYX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Mass-arbitration protocol. If 25 or more individuals bring substantially similar arbitration demands against oryx within a 60-day period and are represented by the same or coordinated counsel, the parties will follow JAMS Mass Arbitration Procedures, including bellwether proceedings and staged filing.
Exceptions. Either party may bring an individual action in small-claims court instead of arbitration. Either party may seek injunctive or equitable relief in court to protect intellectual-property rights.
Opt out. You may opt out of this arbitration agreement by sending written notice to info@oryx.so within 30 days of first accepting these Terms, stating your full name, the email associated with your account, and an unambiguous statement that you opt out of arbitration. Opting out does not affect any other provision.
14. Governing Law and Forum
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 13, the state and federal courts located in New York County, New York have exclusive jurisdiction for any matter not subject to arbitration. If you are a resident of the EEA, UK, or Switzerland, mandatory consumer-protection laws of your country of residence may also apply.
15. Changes to These Terms
We may update these Terms. If we make material changes, we will give you notice (by email or through the Service) at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account.
16. Miscellaneous
- These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement and supersede prior agreements.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor.
- Notices to us: info@oryx.so. We may give you notice by email or through the Service.
